Client Responsibilities & Rights

EXPECTATIONS

The Client holds the following rights to their commission:

- Illustration/Design usage rights pertaining to their specific purpose (Please refer to Usage Rights for more information)
- Illustrations/Design display rights on the person’s social media

The Client shall NOT use the commission for monetized purposes unless already negotiated upon and/or compensated via usage fees.

The Client is responsible for the following:
- Coordination of any decision-making with me
- Provision of content in a form suitable for usage in the deliverables
- Final proofreading of deliverables
- Clear, respectful, and professional communication
- Addition of credit towards me as the artist whenever art is posted or displayed anywhere (See "Misc. Usages" in Usage Rights)

The Client is to send clean, clear references of their character in order for the art process to be processed smoothly. Any images that use Generative AI will not be used and will be asked to be removed. (please refer to VGen’s article about how to spot Generative AI images in their Help site)

Permittable content that will be used during the commission process includes but is not limited to:
- Clean and/or previously-drawn images
- A reference sheet of your character
- Pre-existing official visuals of your character (if requesting fanart of a character from a piece of media)
- Pictures of environments (real-life or in-game/media images)
- Pictures of pre-existing or designed props
- Moodboards for vibes and aesthetics

The above list also applies to commission requests pertaining to character and outfit design.

Ill-willed and disrespectful behavior will result in me completely denying and cancelling your commission, This pertains to and is not limited to:
- Verbal Attacks (Slander, Bad-Mouthing other artists, Slurs, offensive speech)
- Flirting (jokingly and un-jokingly, I have an SO)
- Attempts to pry into personal life
- Scam-like behavior (Attempts to re-direct away from VGen, inclusion of suspicious links)
- Hostile & Rude communication

ALL WORK IS STRICTLY PROHIBITED FROM NFT AND AI USAGE. I DO NOT give consent in any way or form for my works to be utilized in either field. You will be reported for theft if I am informed or I see that my works are being used in such ways.


CHARACTER DESIGN CLAUSE

If the Client has no existing design of their character and is requesting an illustration service, the following terms apply:
- If the Client’s design request is simple (minimal accessories, clothing with minimal layers/requires little design assistance, Artist is asked to follow given reference images as closely as possible, character won’t be used to commercial/streaming/branding purposes), Client will be asked to pay a design fee and will be given a rough sketch of their character before continuing with the actual illustration process.

- If the Client’s design request is anything not listed above and/or will be used as a character/design pertaining to a brand or content, Client will be asked to submit a Character/Outfit design request first.


I, as someone who has experience in design and Visual Development, believe that all design ideas should be explored thoroughly for the sake of me (who will be using this design), the client, and any future artists that will also be using this design. As you consider these options, please understand that a solid base and properly laid-out ideas are essential for the work of artists so that there is minimal confusion and misunderstanding for both parties.

Artist Responsibilities & Rights

I, as the artist, practice the following rights:
- Illustration/Design display rights on my social media
- Illustration/Design display rights on my Portfolio

An NDA can be organized in my Request Form if you require one.

I am responsible for the following:
- Coordination of any decision-making with the Client
- Delivering progress of the Commission within the appointed time (See Revisions/Timeline for more information)
- Clear, respectful, and professional communication
- Updates on progress of the Commission if I am faced with interruptions or must withdraw for a period of time

If improper usage of my work is found (usage for monetization without prior consent, vandalization/offensive media, claiming my work as their own), I practice the right to deny any future commissions from said client and report them for the appointed misdemeanor. I retain the right to terminate the commission at any time without refund if my boundaries or terms are violated.

Restrictions

I have boundaries that may be stricter than what other artists will maintain, I ask that you respect these boundaries as you fill out my request form and during our communication pertaining to your commission. Exceptions have been and will be made depending on the relationship with the client, but it is on a case-by-case basis and I will not give them to everyone.

No matter the client, I WILL NOT allow commissions with requests or designs containing…
- Substance Abuse (smoking/vaping, alcohol, drugs)
- Self-Harm (Acts or implications or self-harm of any kind) (Designs with self-harm scars are okay, as long as the intent is not to glorify or condone self-harm)
- Real-Life Actors and People
Shock / Political Media (includes both real-life and fictional media)
- Acts & Implications of Sexual Intercourse
- Innuendos

The following categories cover specific restrictions I hold and my reasonings for placing restrictions:

Sensitive Content

I am, generally speaking, an SFW artist. I am not comfortable with drawing art consisting of mature/sensitive content, revealing/skimpy character designs, and innuendos. Furthermore, I am inexperienced in drawing NSFW art of any kind.

I, on occasion, may illustrate non-sexual nudity, but that does not mean I am comfortable with commission requests containing non-sexual nudity.

I WILL allow art from characters with designs containing...
- chest windows (Minimal cleavage, - bra-like shapes)
- tight skirts/pants (as long as it does not reveal too much of the body)
- Swimwear (One-piece swimwear, Two-piece swimwear and swim trunks are allowed but I draw the line at Speedos and Bikinis)

I WILL allow commissions with requests containing…
- Blood (visible blood, cuts and bruises)
- Horror (anything pertaining to fictional horror)

Furry Art

I am not a Furry artist, nor is my focus on animalistic characters. I am uncomfortable and inexperienced with drawing Furries.
I allow characters with animal features (Kemonomimi) or, by scale, they are 50% animal and 50% human/human-adjacent.

Mecha Art

I am not a Mecha artist, nor is my focus on machines/robots. I am uncomfortable and inexperienced with drawing mechanically-focused designs.
I allow characters with robotic features (ex. robotic arms, robotic legs, cyborg enhancements). I also allow ILLUSTRATION REQUESTS of cars and vehicles; I do not allow DESIGN REQUESTS of cars and vehicles.

Personal/Commercial/Merchandise Usage

Depending on what you will use your commission for, Usage Fees may apply. The following is a description of my personal definition of each type of usage. By reading this TOS you agree to the terms and to the application of the fees as listed below.---

Personal Usage

Personal usage is defined as the usage of deliverables for non-monetized, non-branded purposes. You will use this illustration purely for personal entertainment or casual viewership. Personal usage may include, but is not limited to:
- Profile Pictures (See “Misc. Usages” below)
- Personal Prints/Printed Work
- Miscellaneous Personal Purposes that do not pertain to one’s brand or Monetized content

All illustrations that will be used for Personal purposes will result in no fees.
Commercial Usage

Commercial usage is defined as the usage of deliverables for a client's brand. The Client may be a streaming identity, owner of a brand, or has a general online presence and requires illustration and design work for their social appearance.

Commercial fees will depend on the specifics behind the art being used.

If the commission is un-monetizable, such as, but is not limited to:
- An illustration for free-to-use branded content
- An illustration used on un-monetized social media content
- Promotion for an upcoming event pertaining to your brand that will NOT involve a payment

You will be charged a 25% fee.

If the commission is monetizable such as, but is not limited to:
- Design work for a VTuber/Social Media appearance project in which you will claim rights towards the design
- An illustration used for monetized social media content
- An illustration used to promote an event pertaining to your brand that will involve a payment

You will be charged a 50% fee.
Merchandise Usage

Merchandise usage is defined as the usage of the deliverables for merchandise, or content that users must pay for in order to access. Merchandise may include, but is not limited to:

- Physical Prints (ex. Posters, Postcards, Small-Scale Physical Illustrations)
- Physical Items (ex. Standees, Stationary, Pins, Keychains)
- Apparel
- Pay-To-Use Digital Content (ex. Phone & Desktop Wallpapers)

All illustrations that will be used for merchandise purposes will result in a fee that is 150% the original price.---

IP Buyout

IP Buyout only pertains to design work, and is for customers that want to commission a design and immediately be granted rights towards Un-Monetized content, Monetized content, and Merchandise usage.
All designs that require an IP Buyout will result in a fee that is 200% the original price.

Change of Usage Rights

Clients who commissioned me that later choose to use said commission for purposes beyond what they initially asked for (ex. A Commercially-covered VTuber Design that will be used for Merchandise, a Personal illustration that will be a part of a client’s brand) are required to pay the fee difference through another method of payment.

EXAMPLE:
A VTuber Character Design with Commercial Rights = $225
A VTuber Character Design with Full Rights = $450
Client requires Merchandise rights towards the design a while after they debut. Client is able to pay for full rights for their design via Ko-fi, they owe $225.

Misc. Usages

Clients are allowed to use my illustrations as their Profile Picture/Social Media Banner as long as it does not pertain to a brand that they own (ex. fanart of another character, a personal OC). Clients who commissioned an illustration of content that pertains to a brand they own are allowed to use said commission for Profile Pictures/Social Media banners if they so choose.
In both cases, clients are required to credit me, Joybilance, as the artist by including any of the following:
- My Bluesky account
- My VGen page
- My Carrd page

I will reach out and ask that you credit me in the ways as explained above if I notice or am told this agreement is breached.

Deadlines & Delivery

The final deliverables will be dependent on the type of commission you request. The timeframe in which the commission will be finished will also depend on the type of commission you request.
Please refer to the service description of your chosen commission for information pertaining to both matters.

Payments

The Client must be able to pay for their commission up-front. This is done to ensure that I will be receiving proper compensation for my work.
If the total amount of the Commission exceeds $100, the Client may request a payment plan. Unless the Client wishes to negotiate the payment plan, 50% of the payment must be made at the beginning of the commission and 50% of the payment must be made before final deliverables are sent.

Revisions

In order for the commission to be completed efficiently and smoothly, the Client must check in with me as their commission is updated. I will be giving updates to the Client about their commission at least once every 1-5 days. Within this period of time, the Client is to verify with me that they are either satisfied with the progress of the commission or they would like revisions to be made.

If the commission is an illustration, the client is entitled to the following number of revisions:
- Unlimited revisions during the sketch & prep phase
- 5 revision stages during the lineart and clean-up phase
- 5 revision stages during the coloring & painting phase
- 2 revision stages following final progress pictures

If the commission is a Design, the client is entitled to an unlimited number of revisions during the design stages. The design stages include but are not limited to:
- Rough Concepts
- Refined Concepts
- Colored Concepts
- Rough Turnarounds

Any form of deliverables after the design stages are entitled to the same revision stages as Illustrations.

To be considered a revision stage, the client must offer 1 list of critiques and adjustments to the art – client MUST be thorough in their requests or else I will not follow through with it. If the client still wishes to be given a revisions stage when their number of stages exceed the count above, a $5 fee will be applied immediately. The client is to pay the fee first before the revision stage is accepted.

If the client is able to, drawing over any WIP screenshots is a very helpful way of giving notes. If the client chooses to do so, they must agree to ONLY draw over the WIPs as a way of giving notes or suggestions, and to do so with respect. If any form of harassment, offensive/inappropriate gestures, or dubious and uncomfortable imagery is drawn over the WIP screenshots, I retain the right to inform the client of my boundaries or terminate the commission altogether, all dependent on the severity of the vandalization.

I will give the client up to 3 days to review the progress pictures and give a round of revisions. Failure to respond within this timeframe will result in me assuming I am able to continue working on the art. If unresponsiveness continues, I retain the right to refuse commission requests from the same client in the future.

Please understand that I am busy outside of commissions and I require professional, timely communication from my clients if I want to deliver satisfactory and high-quality art.

If you ordered a SKEB commission, there will be no progress pictures or WIP discussions within the time period of the commission. If I have any questions regarding clarification about your request or your character, I will reach out to you via VGen DMs.

Refunds

All cancellations and refunds done within the Sketch & Prep phase or the Rough Concepts phase of a design will be refunded fully once both sides confirm the cancellation.
Any refunds that occur during later stages of the commission will be refunded partially once both sides confirm the cancellation.

I, as the artist, retain the right to terminate commissions with no refund if the client shows suspicious behavior as highlighted in Client Responsibilities and Rights.
